LABOR AND EMPLOYMENT STANDARDS LIBRARY CONTENT

The Specialized Technology Resources (“STR”) Labor and Employment Standards Library (“law library database”) is developed for the purpose of providing legal text extracts that inform the viewer regarding social compliance requirements. It offers a particular focus on labor and environmental health & safety requirements that help outline labor related human rights. STR frequently updates its law material. While we do our best to maintain a comprehensive database, the availability of law text can vary from country to country for a variety of reasons, such as: the existence of laws for a particular country, the general accessibility of laws, accessibility of translations, and historical client demand. The information contained within this website is not an exhaustive or detailed account of all potentially applicable legal requirements, nor should it be construed as such. STR reserves the right to at anytime add, delete, change, modify, or suspend any of the existing content or design of the law library database. In addition, from time to time the site will not be available due to routine site maintenance.

STR works with regional translators, law firms, international organizations, and our field experts to translate laws into English. However, this database was designed as a reference tool and while we make every reasonable effort to ensure the accuracy of the translated text, only the official language text would be accepted in a court of law. The translations provided within this website do not serve as legal advice or interpretation of any country laws. While STR tries to ensure that all information, law text extracts, and translations contained within the database are accurate, STR is not responsible for any discrepancies, inaccuracies, errors or omissions in the information provided in this site. The law library database should in no way be considered legal advice or interpretative counsel.

Subscriptions to the law library database are provided on an organizational basis. A “single member” subscription is for one individual user within a subscribing organization. A “small organization” subscription is required for up to three users within a subscribing organization. A “corporate” subscription is required for access of up to ten users within a subscribing organization. The content of the law library database is to be shared with the internal staff of a subscribing organization as the membership terms state only. STR prohibits subscribers and users from sharing their username and password with anyone outside of their organization.

The information and content contained within the law library database is for the sole use and benefit of the licensee. It may not to be reproduced or distributed to any third party, in any form or by any means without prior written permission from STR. Subscribers may not sell, rent, license or otherwise receive payment from third parties for content of the website. The content and design of this website and any material emailed or otherwise supplied in conjunction with this website are copyrighted by STR. It is not permitted to reproduce the website design, including but not limited to trademarks, without prior written consent from STR.

Certain hypertext links within the law library database site may connect the user to web sites that are not under STR’s control. STR has no responsibility for any material on any web site that is not under its control.

Content within the law library database originates from independent sources and country legal systems; it does not necessarily reflect the views and opinions of STR.

ACCOUNTS

The purchase of Specialized Technology Resources, Inc. (STR) products and services require you to create an account. You agree to provide, maintain and update true, accurate, current and complete information about yourself as prompted by our registration processes (the “Registration Data”). You also agree to promptly notify us of any unauthorized use of your username, password, other account information, or any other breach of security that you become aware of involving or relating to STR accounts. STR reserves the right to at anytime add, delete, change, modify, or suspend any of the existing content or design of STR products and services and website. In addition, from time to time products and services will not be available due to routine site maintenance.

We may suspend or terminate your account and your ability to use STR products and services, or any portion thereof, for failure to comply with these terms or any special terms related to a particular service, or for infringing STR’s copyright.

PROOF OF PURCHASE

STR will send you a confirmation of your order via email if you have included an email address with your order.

FEES AND PAYMENT METHODS

Access to STR products and services are subject to fees. STR purchase prices do not include applicable taxes or other additional charges. All payments (including taxes and charges, if applicable) must be made in advance in US Dollars.

In order to set up an account you may provide a valid credit card or debit card. By submitting credit card information, you give STR permission to charge fees incurred through your account to the credit card you designate. No further or recurring fees will be automatically charged to your account without prior permission.

Your right to use STR products and services is subject to any restrictions established by STR or by your credit card issuer. If payment cannot be charged to your credit card or your payment is returned to STR for any reason, including charge back, STR reserves the right to either suspend or terminate your account and all its obligations under this Agreement.

STR requires the credit, debit, or check card security code for your card for online purchase to protect against the unauthorized use of your credit card by other persons. The security code is an individual three- or four-digit number specific to your card that may be printed on the back of your card, on the signature panel (if Visa or MasterCard).

Release time of purchases made by Purchase Order can vary depending on when payment is received by our bank. When bank notification referencing the applicable order number is received by STR, the product or service purchased is released usually within 24 hours. Purchase Order payments must include any and all wire fees if applicable; a 15% charge will be applied to all returned checks.

TAXES

Unless otherwise stated, our fees do not include any taxes, levies, duties or similar governmental assessments of any nature, including but not limited to value-added, sales, use or withholding taxes, assessable by any local, state, provincial, federal or foreign jurisdiction (collectively, "Taxes"). You are responsible for paying all taxes associated with your purchases hereunder. If we have the legal obligation to pay or collect taxes for which you are responsible under this paragraph, the appropriate amount shall be invoiced to and paid by you, unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority. For clarity, we are solely responsible for taxes assessable against it based on our income, property and employees.

RENEWALS

Annual renewals of subscription based products and services will take affect starting on the one year anniversary of the date on which you subscribed. We will send a renewal reminder email to the email address registered with your account, and your account will only be renewed upon receipt of renewal subscription fees.

GENERAL RETURN AND REFUND POLICY

All STR products and services are purchased on a non-refundable basis. STR has complete discretion to make any exceptions available.

EVENT CANCELLATION, REFUND, TRANSFER POLICY

Cancellations received 30 days or more prior to a STR event, including, but not limited to conferences, webinars, trainings, on and off site seminars (“event”) will incur no cancellation fee. No refunds of any kind will be made for cancellation requests made less than 15 days prior to an event.

Substitutions for registered attendees from the same organization are welcome at no additional fee but must be made prior to the event.

If STR postpones or reschedules an event as the result of a problem incurred by STR, a credit will be issued towards the new date. In the event that STR cancels an event as the result of a problem incurred by STR, a full refund will be issued. This shall be your sole and exclusive remedy for STR’s failure to present the event in a timely manner.

DISCLAIMER of WARRANTY

STR PRODUCTS AND SERVICES ARE PROVIDED “AS IS, WITH ALL FAULTS” AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, COMPATABILITY AND NONINFRINGEMENT. YOU ACKNOWLEDGE THAT SOME OF OUR CONTENT COMES FROM THIRD PARTIES. WE DO NOT WARRANT THAT ANY CONTENT WILL BE ERROR-FREE, THAT ACCESS THERETO WILL BE UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT STR WEBSITES OR SERVERS THAT MAKE SUCH PRODUCT AND SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MOREOVER, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF ANY STR PRODUCTS AND SERVICES. YOU HEREBY IRREVOCABLY WAIVE ANY CLAIM AGAINST US WITH RESPECT TO STR PRODUCTS OR SERVICES.

INDEMNIFICATION

You are responsible for maintaining the confidentiality of your username(s), password(s), and your account(s), as well as all activities that occur under your account(s). You hereby agree to indemnify, defend, and hold us and any of our employees or agents (the “Indemnified Parties”) harmless from and against any and all claims, lawsuits, judgments, fines, sanctions, losses, damages, liabilities and costs (including settlement costs and any legal or other fees and expenses for investigating or defending any actions or threatened actions) incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these terms and conditions or claims arising from your use of STR products and services and/or your account(s). You shall use your best efforts to cooperate with us in the defense of any such claim(s). We reserve the right to employ separate counsel and assume the exclusive defense and control of any matter subject to indemnification by you, in which case you shall be liable for any attorney’s fees incurred by the Indemnified Parties, as well as any settlement or judgment against the Indemnified Parties, or any of them.

DISCLAIMER OF CONSEQUENTIAL DAMAGES

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL WE BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES INCURRED BY YOU OR ANY THIRD PARTY AS THE RESULT OF YOUR USE OF STR PRODUCTS OR SERVICES, YOUR INABILITY TO USE IT, OR ACTIONS TAKEN BY STR DURING THE TERM OF THIS AGREEMENT, EVEN IN THE EVENT THAT WE HAVE BEEN PUT ON NOTICE THAT YOU OR THE THIRD PARTY MIGHT SUFFER SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, IN NO EVENT WHATSOEVER SHALL STR BE LIABLE TO YOU FOR ANY LOST PROFITS, LOSS OF OPPORTUNITY, LOSS OF DATA, LOSS OF BUSINESS REPUTATION, COST OF RECALLS, OR COST OF FINES OR SANCTIONS SUFFERED BY YOU THAT RESULT FROM (A) THE USE OF, OR THE INABILITY TO USE, STR PRODUCTS AND SERVICES OR (B) THE CONDUCT OR ACTIONS, WHETHER ONLINE OR OFFLINE, OF ANY USER OF STR PRODUCTS AND SERVICES OR ANY OTHER PERSON OR ENTITY. THIS DISCLAIMER SHALL REMAIN IN FULL FORCE AND EFFECT REGARDLESS OF THE NATURE OF YOUR CLAIM, BE IT BASED IN CONTRACT, WARRANTY, TORT OR OTHERWISE.

LIMITATION OF LIABILITY

IN NO EVENT WHATSOEVER SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE, BUT EXCLUDING GROSS NEGLIGENCE) OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU, IF ANY, OR $100 USD (WHICHEVER IS LESS) FOR YOUR USE OR INABILITY TO USE ANY STR PRODUCTS OR SERVICES, OR ANY STR ACT OR OMISSION IN RELATION TO THEM; PROVIDED, HOWEVER, THAT THIS DISCLAIMER SHALL NOT APPLY IN THE EVENT OF GROSS NEGLIGENCE OR INTENTIONAL WRONGDOING BY STR. THIS LIMITATION OF LIABILITY SHALL REMAIN IN FULL FORCE AND EFFECT REGARDLESS OF THE NATURE OF YOUR CLAIM, BE IT BASED IN CONTRACT, WARRANTY, TORT OR OTHERWISE.

AMENDMENT

At any time, we may unilaterally amend these terms (including by modification, deletion and/or addition of any portion thereof). If we make a material amendment to these terms, we will attempt to notify you of such amendment by either: (i) sending you an e-mail at the last e-mail address that you provided us if you have an account with STR; or (ii) by posting notice of such amendment on the STR website. You agree that the posting of any such changes on the STR website is sufficient notice to you, and that it is your responsibility to remain current on changes to the terms by inspecting the website(s) for notice of such changes. Any such amendment to these terms will be effective thirty (30) calendar days following either our dispatch of an e-mail notice to you or our posting of notice of the changes on the STR website. Please note that, at all times, you are solely responsible for updating your personal information to provide us your current e-mail address if you have an account with STR. In the event that the last e-mail address that you have provided us is not valid, or for any other reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of any amendment described in the notice.

TRADEMARKS AND COPYRIGHT NOTICE

“STR,” “QASR” and “LESLi” are trademarks belonging to STR. You may not use these trademarks for your own use or in any other manner without the prior written permission of STR, which may be withheld in its discretion.

EXPORT CONTROL AND ECONOMIC SANCTION REQUIREMENTS

STR products and services are subject to United States export control and economic sanctions requirements. By acquiring any items through STR, you represent and warrant that your acquisition comports with and your use of the item will comport with those requirements. You represent and warrant that you will not acquire goods, services or software through STR if: 1) you are in, under the control of, or a national or resident of Cuba, Iran, North Korea, Sudan or Syria or if you are on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Commerce Department’s Denied Persons List, Unverified List or Entity List; or 2) you intend to supply the acquired goods, services or software to Cuba, Iran, North Korea, Sudan or Syria (or a national or resident of one of these countries) or to a person on the Specially Designated Nationals List, Denied Persons List, Unverified List or Entity List.

GENERAL PROVISIONS

These terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States of America, without giving effect to any principles of conflicts of law. If any provision of these terms shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. No waiver of any provision of these terms use by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. In these terms, the word “including” is used illustratively, as if followed by the words “but not limited to.” IF YOU HAVE A CLAIM FOR BREACH OF CONTRACT OR OTHER CLAIM AGAINST STR, YOU MUST FILE THE LAWSUIT AGAINST STR WITHIN TWELVE (12) MONTHS OF THE DATE THE CLAIM ACCRUED; OTHERWISE, YOU WILL BE DEEMED TO HAVE WAIVED THE CLAIM AND ANY CAUSE OF ACTION ARISING FROM THAT CLAIM SHALL BE PERMANENTLY BARRED.

Additionally, you agree that any legal action brought by you to enforce your rights or seek damages shall be brought exclusively within the jurisdiction of the Connecticut Superior Court or the United States Federal District Court for the District of Connecticut. You hereby submit to the personal jurisdiction of those courts.

YOUR PRIVACY AND SECURITY

As your privacy is important to us, STR has prepared this Statement of Privacy and Security (“Statement”) so that you may better understand how we use and protect your personal information. Please take the time to review this page and contact us at privacy@strus.com with any questions or concerns.

PERSONAL INFORMATION

We may ask you to register and provide personal information, such as when you register an account with us, access product information, features or programs, or sign into a page that requires authorization. We may also collect credit card information to bill you for products and services that you purchased.

This personal information may include your name, company information, e-mail address, user ID, domain name, URL, credit card number, mailing address, and telephone number.

SYSTEM CONFIGURATION INFORMATION

We automatically collect on our server logs certain information about your computer hardware and software when you visit the STR website or use our products and services. This information may include such things as your IP address, cookie information, globally unique identifier, system, operating system, a description of any STR products registered and how such products are used, browser type, domain names, access times, service provider and referring website addresses.

WEBSITE USAGE INFORMATION

We may track information about how you use our website, products or services through cookies, globally unique identifiers, Internet tags or web beacons, and track navigational data (e.g., log files, server logs, click stream). These allow us to track how you interact with the STR website, products and services and to help us tailor communication to you. We also collect information such as the URL of the website you previously visited, and when you use our website. We also keep track of the pages you visit within the STR website and any transaction details (e.g., downloads, orders, requests, referrals, products or services). You can set your browser to notify you when a cookie is sent or to refuse or delete cookies altogether, but certain features of the website may not work without cookies.

HOW WE USE YOUR INFORMATION

Personal Information

We collect, integrate, and use your personal information to help enhance and personalize your use of our website, products and services. This will enable: (1) you to quickly find the services or information on our website; (2) STR to create content and other services on the website most relevant or customized to you; (3) us to alert you about upgrades and updates with respect to STR website, services and products, special offers, promotions, newsletters, latest product announcements, upcoming events, programs and other new services from STR; and (4) us to invite you to participate in product and service surveys or programs. We may use this information to communicate with you either via the Internet, e-mail, mail or telephone. From time to time we may send you “service e-mails” that inform you about system downtimes, product problems or recalls, password reminder e-mails, etc.

We also use anonymous and aggregated data to create statistics and reports for various business purposes.

We may aggregate anonymous data and share the anonymous data with our co-marketing partners in order to offer all our customers potentially desirable products and services as well as to improve our content and services.

We occasionally hire other companies to provide limited services on our behalf, such as handling the processing and delivery of mailings, providing customer support, processing transactions or performing statistical analysis of our services. We will only provide those companies the personal information (such as an e-mail address) that they need to deliver the service. Our service providers are required to maintain the confidentiality of your information and are prohibited from using that information for any other purpose.

From time to time we supplement the information we collect from our website with information from offline or third party sources. We use this information to enhance or overlay the “profile” of customers and business contact information. This supplementary data is therefore tied to corporate contact information and in some cases personally identifiable information. We also may internally compare lists collected from our website to remove duplicate entries.

E-Mail Messaging

We will periodically send our registered users e-mail messages about our products, services and updates. When sending you an e-mail, we may use an image called a single pixel GIF that allows us to format messages tailored to your computer’s capabilities. We also use this technology to determine, in the aggregate, how many people open our e-mails. When you initiate a response by clicking on a link within an e-mail, you are redirected onto the Internet. We then record your individual response to help us deliver information that is more relevant to your interests.

Disclosure of Information

We keep your personally identifiable information confidential. We do not disclose it to third parties or others that do not have a need to know such information except under certain circumstances. Set forth below are additional circumstances where we may share your personal information:

1) Certain of our employees, independent contractors and service providers may have access to your personally identifiable information necessary for the sole purpose of helping us run our business. These employees and contractors have confidentiality and security obligations.

2) We may share your personal information with our affiliates, subsidiaries and third party service providers as we deem appropriate.

3) We may disclose your personally identifiable information to another business entity should we plan to merge with or be acquired by that business entity; or to any organization involved in a merger, transfer, or sale of our assets or business.

4) To protect and defend the rights or property of STR.

5) We may also share your personally identifiable information to respond to law enforcement requests, court orders or other legal processes or if we believe that such disclosure is necessary to investigate, prevent or respond to illegal activities, fraud, physical threats to you or others, national security threats or as otherwise required by any applicable law or regulation.

If you post any information in public areas of our website that we choose to create, such as forums or message boards, it will be available to the public and we may remove, reuse and/or republish such information at our discretion

In the event that we disclose your personally identifiable information as set out above, we will require third-party organizations that have access to your personally identifiable information to protect and maintain your personally identifiable information in compliance with the terms and conditions of this Statement.

Prohibited Disclosures

Except as set forth above, we will not disclose your personally identifiable information to any third party, including advertisers, without your explicit consent. In addition, we will not share, trade, rent, or otherwise disclose your personal information, our e-mail list or address list to third parties for their promotional purposes.

Publicizing of Subscriber Organizations

The STR law library database product and service reserves the right to publish a list of or otherwise make known the names and/or marks of organizations (including enterprises) which have members who are subscribers to the STR law library database. If there are any cases in which subscribers wish to have their respective organizations remain anonymous while retaining subscription benefits to the law library database, they can make written requests to privacy@strus.com.

CONTROL OF YOUR PERSONAL INFORMATION

If you register an account with us, we offer choices for the collection, use and sharing of personal information. In addition, you may also stop the delivery of future communications including newsletters, special offers and updates from us by unsubscribing at any time. We use a variety of security technologies and procedures to help protect your personal information from unauthorized access, use, or disclosure. For example, we store personal information you provide on computer systems with limited access. These systems are located in controlled facilities. When we transmit highly confidential information (such as a credit card number) over the Internet, we protect it through the use of encryption technologies.

CHANGES TO THIS STATEMENT

We will occasionally update this Statement. When we post changes to this Statement, you will see a notice of the update on our website. If there are material changes to this Statement or in how we will use your personal information, we will prominently post such changes prior to implementing the change. In any case we will not make any changes that are less protective of your personal information collected in the past without your consent.
